DISTRIBUTION AGREEMENT
SECTION 1
DEFINITIONS
Entourage Livery Inc DBA Celebrity Diamonds, to be further referred to here-in as THE COMPANY.
The person or company to which a current and active license is specifically granted to, to be further referred to here-in as the LICENSEE.
CelebrityDiamonds.net, to be further referred to here-in as the WEBSITE.
THE COMPANY is an S-Corporation in good standing with the Commonwealth of Massachusetts, owned by Jonathan Coombs (President) and Brandon Braddock (Vice-President, CEO).
The COMPANY warrants that it is registered with the MA Department of Revenue and will collect and remit sales tax on the sales that it facilitates into the State of Massachusetts for all its Marketplace Facilitator LICENSEES.
WE ARE DISTRIBUTORS, NOT JEWELERS
Although we can, and do set diamonds on rings and other jewelry, we specialize in the wholesale distribution of lab-grown Flawless VVR ™ Diamonds to other distributors who sell diamonds.

A Marketplace Facilitator License is the license given to THE COMPANY for the sole purpose of selling jewelry anywhere on the online marketplace. This allows the LICENSEE to facilitate ONLINE sales transactions with a customer, but they are acting on behalf of THE COMPANY.
A Distributors License is the license given to a LICENSEE for the sole purpose of selling Celebrity Diamonds. This allows the LICENSEE permission to sell our products using our name, our branding, our business plan, our business structure and our awesome team.
THE COMPANY will be supplying a limited # of licenses for 2026. We will then add more licenses for 2027 and each additional year as we grow. THE COMPANY holds the right to accept or reject any LICENSEE at the sole discretion of THE COMPANY.
THE LICENSEE can facilitate in the sale, but only the COMPANY is allowed to collect payment, so it can properly pay sales tax.
If the LICENSEE wants to collect any form of payment, then a SPECIAL LICENSE must be given to the LICENSEE from the COMPANY.
Depending on the volume of the LICENSEE'S projected sales, and the workload required from the COMPANY, the LICENSEE will be given a monthly license fee at the sole discretion of the COMPANY.
If the LICENSEE has a Storefront Business, the Marketplace Facilitator License must be visible to the consumer.
The LICENSEE understands that all SALE PRICES will be posted on the WEBSITE and all sale prices are non-negotiable unless the LICENSEE has a Level 2 Wholesale License, which allows the LICENSE to dictate their own sale price.
The LICENSEE understands that at the only person that can change the selling prices of all jewelry on the WEBSITE is the COMPANY.
The COMPANY does give the LICENSEE the option to call in and request to make an ammendment to the selling price. If the request is approved, a Special Ammendment will be made to the selling price and given to the LICENSEE in writing by text or email.
Due to the high volume of fraud, the COMPANY does not allow VVR ™ Diamonds to be sold over the internet.
FAQ
Can a VS/D Diamond be sold on the internet? Yes, becasue it is not VVR™. Our Flawless Collection is the only collection that is considered VVR™.
Due to our high-level of customer service, all VVR ™ Diamond orders must be done in person.
When selling a VVR ™ we are extremely proud of it because 99.9% of our clients do not sell FLAWLESS diamonds. On every sale we want to ensure 100% clarity and transparency on exactly what the client is ordering and taking possession of. For that reason, all sales will have 2 contracts that will need to be completed and signed. 1 before the sale and 1 after the sale.
The LICENSEE warrants to have a Celebrity Diamonds Purchase Agreement signed before any payment is collected. See Form 1.1 - At the bottom of this page.
The LICENSEE warrants to have a Confirmation of Receipt signed before client is given possesion of the jewelry order. See Form 1.2 - At the bottom of this page.
LICENSEES should recommend that customers contact the independent insurer, BritCo - www.britco.com - which allows the customer to insure their diamond at a low monthly fee for up to 125% of its value, even if the diamond is lost.

The client walks into the storefront business.
The client sees the kiosk.
If interested in diamonds, they inquire with one of your staff members.
Get a discovery
Show the client different carat sizes.
Show the client the diamond clarity under a 10x scope.
Show the client the a Diamond Grade Report.
Show the client an appraisal.
Show the client today's online price comparisons.
The client decides to place the order.
The storefront business calls Celebrity Diamonds.
Celebrity Diamonds sends the client a contract to their cell phone.
The client signs their contract and pays.
The payment is received.
The purchase is complete.
We place the order with the lab.
The order is delivered to us. (Unless it is already in stock.
All VVR ™ Diamonds are then sent to the appraiser.
The order is then delivered to the storefront business.
The storefront business schedules their client to pick up the order.

WARRANTY 1 - LOOSE DIAMONDS
The Diamond Identification # on the clients contract will 100% match the Certified Diamond Grade Report and the Diamond Identification Number on the diamond. This prooves authenticity.
WARRANTY 2 - LOOSE DIAMONDS
The 5 Page Expert Appraisal will match the Diamond Grade Report and will also have the matching Diamond Identification Number on it. This proves authenticity and retail value.
