DISTRIBUTION AGREEMENT
SECTION 1
DEFINITIONS
Entourage Livery Inc DBA Celebrity Diamonds, to be further referred to here-in as THE COMPANY.
The person or company to which a current and active license is specifically granted to, to be further referred to here-in as the LICENSEE.
CelebrityDiamonds.net, to be further referred to here-in as the WEBSITE.
The COMPANY warrants that it is a legal Massachusetts baased company in good standing with the Commonwealth of Masaschusetts since 2004.
The COMPANY warrants that it is registered with the MA Department of Revenue and will collect and remit sales tax on the sales that it facilitates into the State of Massachusetts for all its Marketplace Facilitator LICENSEES.
The COMPANY warrants that it has only 2 owners. Brandon Braddock, the CEO and Jonathan Coombs, the President. Both partners are 50% shareholders.
The Articles of Corporation are licensed at 817 East Washington Street, North Attleboro, MA 02760

A Marketplace Facilitator License is the license given to a LICENSEE for the sole purpose of selling jewelry anywhere on the marketplace, wether online or in person, through the legal licensing of the COMPANY. This allows the LICENSEE to facilitate the sales transaction with the customer, but they are acting on behalf of the COMPANY.
THE LICENSEE can facilitate in the sale, but only the COMPANY is allowed to collect payment, so it can properly pay sales tax.
If the LICENSEE wants to collect any form of payment, then a SPECIAL LICENSE must be given to the LICENSEE from the COMPANY.
Depending on the volume of the LICENSEE'S projected sales, and the workload required from the COMPANY, the LICENSEE will be given a monthly license fee at the sole discretion of the COMPANY.
If the LICENSEE has a Storefront Business the Marketplace Facilitator License must be visible to the consumer.
The LICENSEE understands that all SALE PRICES will be posted on the WEBSITE and all sale prices are non-negotiable unless the LICENSEE has a Level 2 Wholesale License, which allows the LICENSE to dictate their own sale price.
The LICENSEE understands that at the only person that can change the selling prices of all jewelry on the WEBSITE is the COMPANY.
The COMPANY does give the LICENSEE the option to call in and request to make an ammendment to the selling price. If the request is approved, a Special Ammendment will be made to the selling price and given to the LICENSEE in writing by text or email.
Due to the high volume of fraud, the COMPANY does not allow VVR ™ Diamonds to be sold over the internet.
Due to our high-level of customer service, all VVR ™ Diamond orders must be done in person.
When selling a VVR ™ we are extremely proud of it because 99.9% of our clients do not sell FLAWLESS diamonds. On every sale we want to ensure 100% clarity and transparency on exactly what the client is ordering and taking possession of. For that reason, all sales will have 2 contracts that will need to be completed and signed. 1 before the sale and 1 after the sale.
The LICENSEE warrants to have a Celebrity Diamonds Purchase Agreement signed before any payment is collected. See Form 1.1 - At the bottom of this page.
The LICENSEE warrants to have a Confirmation of Receipt signed before client is given possesion of the jewelry order. See Form 1.2 - At the bottom of this page.
LICENSEES must recommend that customers contact the independent insurer, BritCo - www.britco.com - which allows the customer to insure their diamond at a low monthly fee for up to 125% of its value, even if the diamond is lost.
